Terms of service
Version 1.0 · Effective [DATE] · Between you and Daybook (Private) Limited
Draft for legal review before launch. Items in square brackets need a decision.
1. The service
Daybook gives you online software to keep your books, send invoices to FBR digital invoicing, work out sales tax and withholding, and run the other modules in your edition. We may improve features over time without reducing what your edition includes.
2. Your account
You must give true details and keep your password and sign-in codes private. The owner of a company decides who is invited and what each person can do, and is responsible for their use.
3. Your data is yours
You own your business records. You can export them to Excel at any time. We use them only to provide the service, as set out in the Privacy notice.
4. FBR digital invoicing
You are responsible for what your invoices say, including buyer details, HS codes, rates and tax. Daybook sends them to FBR on your behalf with your token. If FBR cannot be reached, Daybook keeps the invoice and sends it once FBR can be reached. If FBR does not answer, Daybook does not send it again on its own and asks you to check IRIS, so no invoice is reported twice. FBR alone decides whether to accept an invoice.
5. Accountants
If you work with a Daybook accountant or your own firm, they act on your instructions. Their fee and scope are agreed with you in a separate engagement letter.
6. Fees
Fees for your edition and add-ons are [PRICE] per month, billed [MONTHLY OR YEARLY] in advance, plus sales tax on services where it applies. We give [NUMBER] days notice before any price change.
7. Unpaid fees
If fees remain unpaid [NUMBER] days after the due date, the account becomes read-only: you can still see and export everything, but cannot add or send new records. We never delete data for late payment without written notice.
8. Availability
We aim for the service to be available [TARGET]% of each month, excluding planned maintenance announced in advance. Status and incidents are shown in the app.
9. Liability
[LIABILITY CAP AND EXCLUSIONS, TO BE SET BY COUNSEL]. Nothing in these terms limits liability that cannot be limited by law.
10. Ending the agreement
You can cancel at the end of any billing period. We keep your data available for export for [NUMBER] days after that, then keep only what law requires.
11. Law and disputes
These terms are governed by the laws of Pakistan. Disputes go to the courts at [CITY]. We will try to settle any complaint directly first: write to [SUPPORT EMAIL].
